Job Summary:

We are looking for an in-house lawyer to spearhead the development and implementation of the company's contract review and management program; assist with data privacy processes and compliance; and assist with regulatory and industry compliance matters. This position will report to the General Counsel. Position offers the flexibility to work remotely for part of the week, with in-office presence required on designated days in accordance with company policy.

Compensation: $145k - $175k DOE; this is a bonus eligible position with a 15% target.

Essential Functions:



  • Drafting, reviewing, and negotiating commercial contracts, including customer, vendor, and other third-party contracts.
  • Developing cross-functional relationships and facilitating decision-making among the legal team and other internal business teams, including sales, marketing, operations and fleet, accounting, human resources, risk, and information technology.
  • Developing and maintaining standard contract templates and compliance policies and driving efficiencies in the contracting process.
  • Developing and overseeing the day-to-day operations and administration of the company's contracting process and contract management system.
  • Preparing, reviewing, and revising non-disclosure and other agreements based on existing forms and templates.
  • Reviewing, revising, and approving branch location and depot leasing agreements and amendments, as well as tenant estoppel and subordination non-disturbance and attornment agreements.
  • Overseeing the improvement of Legal Department processes to increase efficiencies and mitigate legal and compliance risks.
  • Managing compliance with applicable laws and regulations and undertaking legal research and analysis to stay current on legal developments that may impact the company, particular in HR and environmental areas.
  • Advising on data privacy and protection matters, including compliance with international regulations, US regulations, and state regulations, data transfer requirements, e-privacy and marketing, and data processing provisions in customer and vendor contracts.
  • Developing and maintaining data privacy compliance framework and policies.
  • Other duties as assigned.



Qualifications:



  • Familiarity with legal processes and procedures.
  • Strong negotiation skills.
  • Ability to collaborate as a member of a team and interface and work effectively with the Legal Department and with other departments within the company.
  • Excellent written and verbal communication, research, and organizational skills.
  • Self-motivated.
  • Attention to detail.
  • Ability to communicate legal rules and concepts to business units effectively and to translate legal concepts and recommendations to practical business advice.
  • Ability to manage and prioritize multiple projects and tasks and to triage and reprioritize projects frequently.
  • Ability to effectively and efficiently respond to questions that business units bring to the Legal Department.
  • Ability to follow directions as given, understand the purpose of an assignment, and implement problem-solving abilities as needed.
  • Continually looking for practical ways to improve processes and support the scale of the business.
  • Excellent time management skills with a proven ability to meet deadlines.
  • Ability to work independently.
  • Strong analytical and problem-solving skills.
  • Ability to maintain confidentiality
  • Strong research skills.
  • Proficiency in Microsoft Office Suite, particularly Word, Excel, and PowerPoint.
  • Proficiency in Adobe Professional or similar program.
  • Familiarity with RMIS is a plus.
  • Familiarity with vendor management software or platform is a plus.



Typical Physical Activity:



  • Physical Demands/Requirements consist of standing, sitting, walking, stooping, reaching overhead, grasping, seeing, reading, speaking, hearing, and occasional lifting up to 25 lbs.



Typical Environmental Conditions:



  • Typical indoor office environment, workspace, meeting rooms, and break room/lunch room
  • Physical demands consist of standing, walking, sitting for long periods of time, occasionally lifting up to 25 lbs., typing, hearing, and speaking.



Education and Experience Requirements:



  • JD from an ABA accredited law school
  • Licensed member of a state bar
  • Meets state requirements for continuing legal education
  • 4-10 years of experience practicing law in a recognized law firm and/or in-house position
  • Fluency with respect to commercial contracts, non-disclosure agreements, acquisition agreements, finance agreements, real estate transactions, leasing, and other transactional documents
  • Knowledge of human resources, anti-corruption, anti-trust, data privacy, and other compliance matters
