Job Summary

The Senior Principal Counsel and Lead Strategy & Transactions Counsel, UCSF Health, serves as lead counsel to members of the UCSF Health System Executive Team and Senior Leadership Counsel related to complex healthcare transactions and related complex regulatory matters.

The Senior Principal Counsel must be a recognized state or national expert in either complex healthcare transactions or complex healthcare operations matters, with a demonstrated ability to independently counsel strategy, network development, and contracting leaders and to run major transactions, including whole hospital transactions. This includes providing strategic advice to assist clients in identifying and describing their goals and objectives; developing options for pursuing them; identifying, coordinating, and efficiently managing disperse in-house and outside resources in support of the deal work; leading response to related government inquiries and investigations, and drafting complex legal opinions. The work requires working knowledge of substantive legal disciplines affecting healthcare organizations such as corporate governance, fraud and abuse, licensing and enrollment, enterprise risk management, and managed care.

Direct experience with California agencies with related regulatory oversight responsibilities (such as the California Department of Justice, the California Department of Public Health, the Department of Health Care Services, and the Department of Health Care Access and Information) is required.

This position more broadly provides strategic leadership and counsel, independently managing and completing long-term projects, anticipating areas of risk, concern, and/or liability, and developing unique, innovative solutions that account for the long-range vision of UCSF Health and the UCSF Office of Legal Affairs. Other duties as assigned, including, but not limited to: representing the General Counsel, the Chief Campus Counsel, or the Chief Counsel, UCSF Health in different settings; independently identifying opportunities to collaborate with diverse, interdisciplinary teams to facilitate holistic, multi-faceted solutions that anticipate challenges; contributing to UC Legal's repository of scholarly and/or pedagogic publications through development of templates, white papers, precedent, and otherwise; and interfacing regularly with executive leaders of UCSF Health, UCSF and UC Legal.

The final salary and offer components are subject to additional approvals based on UC policy.

Your placement within the salary range is dependent on a number of factors including your work experience and internal equity within this position classification at UCSF. For positions that are represented by a labor union, placement within the salary range will be guided by the rules in the collective bargaining agreement.

The salary range for this position is $192,800 - 396,000 (Annual Rate). A typical qualified candidate can generally expect to earn between $275,000 - $325,000.

Pursuant to a delegation of authority from the University of California Office of the General Counsel, the Office of Legal Affairs assists the UCSF community to accomplish its goals in a manner consistent with both law and University policy. As an integral part of the campus community, the Office supports and facilitates the campus' educational, patient care, research and community service activities by providing legal services in a proactive and responsive manner.

The UC Legal-San Francisco team assists the University of California, San Francisco (UCSF) and UCSF Health community and leadership to accomplish their strategic goals across the entire UCSF enterprise, in a manner consistent with both law and University policy. All attorneys on the UC Legal-San Francisco team are also members of the Office of the General Counsel for the University of California and, as such, represent the Regents as the applicable legal entity for the University. As an integral part of the campus community, the UC Legal-San Francisco office supports and facilitates the UCSF's educational, patient care, research, and community service activities by providing comprehensive legal services in a proactive and responsive manner.

Required Qualifications


  • J.D. from an accredited law school and 10 or more years of directly related work experience; and/or equivalent experience/training.
  • Minimum of ten years healthcare law experience.
  • Must be a member in good standing of the California Bar. (Out-of-state hire would be afforded time to pass the Bar within a reasonable period.)
  • Direct experience with California agencies with related regulatory oversight responsibilities (such as the California Department of Justice, the California Department of Public Health, the Department of Health Care Services, the Department of Health Care Access and Information, and the Department of Consumer Affairs and various health professions licensing boards)
  • Relevant practice experience in a law firm, or in-house counsel for an academic institution, corporation or other entity.
  • Expert ability in collaboration, facilitation, and strategic and creative thinking.
  • Trusted partner with senior management and a diverse spectrum of clients.
  • Expert understanding of highly complex legal issues and ability to foresee implications in specialty area, even when ambiguous or hidden.
  • Outstanding interpersonal communication skills, including proven ability to actively listen, negotiate, persuade and educate. Skills to gain trust and build credibility with a broad group of colleagues and clients, to include senior leaders.
  • Outstanding written communication skills and ability to create and deliver effective materials and / or presentations appropriate to a particular audience.
  • Outstanding research skills; ability to readily identify critical changes in area of specialty.
  • Outstanding ability to establish strategic solutions at the macro-level; to influence key stakeholders in alignment with mission.
  • Expert ability in consulting, relationship building, and strategic thinking skills.
  • Proven ability to maintain confidentiality and exercise discretion and tact when handling sensitive or potentially sensitive issues.
  • Demonstrated commitment to the highest ethical standards.

Preferred Qualifications


  • Minimum of twelve years of litigation experience
  • Thorough knowledge of the organizational environment of health care delivery to understand client priorities, issues, motivations and constraints.
  • Relied on to represent institutional concerns persuasively to internal and external parties.
  • Demonstrated ability to mentor and coach all levels of staff; provide for succession planning in area of specialty.

License/Certification


  • Must be a member in good standing of the California Bar. (Out-of-state hire would be afforded time to pass the Bar within a reasonable period.)
