We're looking for a Sr Paralegal to join our global corporate team out of Chicago!

We are seeking an experienced, highly motivated team player. In the function of paralegal, you will be supporting the U.S. legal team and the finance group with general corporate matters and governance support to the Aon entities in the U.S. You will be part of the U.S. corporate legal team based in Chicago as well as Aon's wider Global Secretariat team that is part of the Legal/Compliance Group.

Responsibilities:

  • Calendar annual meetings for corporations and limited liability companies. Prepare annual meeting consents for each Aon U.S. subsidiary corporation and limited liability company.
  • Prepare and coordinate signatures of Shareholders/Board of Directors/Managers resolutions as required and also as requested by Aon Treasury, Aon Tax or other departments to document dividends, contributions and election of officers/directors/managers, among other matters.
  • Prepare all documents required to form corporations and limited liability companies, i.e. draft articles of incorporation, by-laws, limited liability company agreements, organizational consents.
  • Draft and prepare documents for amendments, qualifications, withdrawals, mergers and dissolutions for corporations and limited liability companies.
  • Create and maintain electronic corporate minute books and limited liability company records books.
  • Upon acquiring companies, coordinate the integration of acquired legal entities into our control procedures, including the completion of the following: coordinate all Secretary of State filings, change registered agent (if need to), update board and officer registers.
  • Support the business units in their efforts to generate revenue through the submission of requests for proposals by obtaining information, drafting responses and preparing secretary certificates.
  • Update the electronic database Entity Ops for Aon's U.S. subsidiary entities as needed and with the help of the Global Secretariat team.
  • Assist the Global Secretariat team and business unit individuals in obtaining documents from governmental agencies, including obtaining Apostilles and legalizations of documents for non-U.S. countries.
  • Advise and assist Aon U.S. colleagues in their effort to obtain U.S. entity charts from GlobalSecretariat team in Poland.
  • Check monthly list of filings due from Aon's registered agent, Corporation Service Company, for any fictitious/assumed name expirations. Prepare and arrange to file renewals.

Required Experience:

  • At least 5 years' experience in a similar paralegal role, ideally at a large multinational is desirable
  • Has a strong working knowledge of U.S. company law and corporate filings
  • Good communication, organizational and administrative skills
  • A demonstrated team player with ability to work with your own initiative and collaboratively with (international) teams
  • Capable of managing your workload, prioritizing important projects and delivering on multiple deadlines
  • Prioritizes accuracy and attention to detail
  • Understands confidentiality and discretion when handling confidential information
  • High ethical standards
  • Good technological skills and familiarity with legal entity management systems beneficial

Pay Transparency Laws:

The salary range for this position (intended for U.S. applicants) is $67,900 to $105,000 annually. The actual salary will vary based on applicant's education, experience, skills, and abilities, as well as internal equity and alignment with market data. The salary may also be adjusted based on applicant's geographic location.

The salary range reflected is based on a primary work location of Chicago, IL. The actual salary may vary for applicants in a different geographic location.

This position is eligible to participate in one of Aon's annual incentive plans to receive an annual discretionary bonus in addition to base salary. The amount of any bonus varies and is subject to the terms and conditions of the applicable incentive plan.
