The position of Counsel is an exempt, entry level professional position responsible for providing legal advice and counsel for multiple business units within the overall family of Mansfield Energy companies for various matters in support of the overall legal strategy developed by the SVP, General Counsel. This position is responsible for drafting, reviewing, negotiating, and interpreting contracts and RFPs/bid documents both for the refined products and natural gas businesses, engage in negotiations and dispute resolutions, as well as working on various legal and business research projects. This position is based out of the Gainesville, Georgia headquarters, has no direct reports and will report directly to the SVP, General Counsel.

Responsibilities:

Contracts:

  • Review RFPs/bids with appropriate department representatives and provide legal analysis.
  • Communicate regularly with internal personnel involved with the contractual requests from customers.
  • Negotiate contract details with internal and external customers.
  • Draft, review, and finalize legal documents, including contracts, pleadings, discovery responses, and corporate governance materials.
  • Support dispute resolution, litigation management, and interactions with regulatory authorities.

Advise on Legal Issues:

  • Provide legal advice on a wide range of issues, including contracts, corporate governance, regulatory compliance, employment law, and risk management.
  • Advise management and business teams on legal implications of strategic decisions and Company policies.
  • As directed, assist attorneys with the management of litigation, including e-discovery, deposition preparation, and trial preparation, as well as with interactions with outside counsel, regulatory and legislative authorities.
  • Assist with various matters, including but not limited to insurance, litigation and employment law topics.
  • As directed, assist in handling mergers, acquisitions, partnerships, and other strategic transactions.

Compliance:

  • Ensure compliance with applicable laws, regulations, and Company policies across all jurisdictions where the Company operates.
  • Research laws and regulations as directed by the General Counsel, including laws and regulations that impact the energy industry; maintain and update the department's legal knowledge database on such laws and regulations.
  • Assist with management of the department's online legal request system and identify and implement improvements to increase the efficiency of legal services provided by the department.

Research:

  • Conduct research and provide memoranda on various legal and business matters; maintain and update the department's legal knowledge database on such laws and regulations.
  • Keep current on changes in relevant laws and regulations impacting the natural gas industry and provide guidance on how these changes affect operations and policies.
  • Conduct complex legal and factual research using online databases and other resources.
  • Manage case files and legal databases, ensuring accuracy and compliance with recordkeeping requirements.

Requirements:

Formal Education & Certification:

  • Completion of a Law degree from an accredited law school.
  • Licensed to practice law and in good standing in the States of Georgia and Texas.

Knowledge & Experience:

  • Minimum of 1+ years of relevant legal experience, preferably in a corporate legal department of a similar sized Company with similar risk exposure or reputable law firm.
  • Preference given to applicants with direct experience in the oil & gas or petroleum distribution sector.
  • Solid understanding of Microsoft suite of products including Word and PowerPoint.

  • Demonstrated strength in setting priorities, managing multiple concurrent projects, and maintaining alignment with strategic objectives.
  • Excellent legal research and organizational skills.

Work Environment & Travel:

  • 40-hour work week with 3 days in the office and 2 days remote, business conditions permitting. Eligibility for the hybrid work week begins after completion of the ninety-day introductory period of employment where all training will occur onsite.
  • Ability to travel overnight, including weekends, 1-2 times a month is required.
  • Must be available to work flexible hours as needed including evenings & weekends as needed.
  • Sitting for extended periods of time.
  • Dexterity of hands and fingers to operate a computer keyboard, mouse, and other computer components.
