Sentry is seeking an experienced corporate attorney to join our team as Associate Counsel. This position will be responsible for negotiating complex commercial transactions and advising on general corporate matters. Sentry attorneys regularly provide advice and counsel to senior executives to assist in addressing a wide range of legal and business issues.
What You'll Do:
- Work with Sentry's Procurement Department and business clients to draft, review and negotiate commercial contracts, including software licensing agreements, master purchase agreements, and consulting services agreements. You'll manage a high volume of agreements supporting departments across the organization.
- Negotiate and advise on strategic and highly visible corporate relationships such as joint ventures, title sponsorship opportunities and golf tournaments.
- Advise Sentry's IT Department on matters such as use of open-source software and protection of intellectual property rights.
- Work with Sentry business leaders to draft terms and conditions of use for Sentry developed websites, applications and products.
- Advise Sentry's Marketing Department on Sentry's trademark portfolio, including assisting with obtaining new trademarks and logos and enforcing Sentry's intellectual property rights under its existing marks.
- Advise and assist with other corporate matters as they arise, including responsible use of artificial intelligence, corporate governance matters, intellectual property rights and investments transactions.
- Plan strategies for solving various legal and business problems in your areas of responsibility, including litigation strategy, and have the responsibility for providing legal advice on these matters to management
- Assist management in developing operational strategies and solutions relating to corporate policy
- Review and analyze enacted and proposed state and federal laws and regulations that affect the Company, and advise on the implications of such laws, regulations, and draft legislation
What it Takes:
- A minimum of 5 years of overall legal experience involving corporate and transactional matters (in an insurance company, corporate legal setting or private practice)
- Ability to prioritize and manage a high volume of work, accurately and efficiently, often under pressure and tight deadlines
- Strong academic background and a Juris Doctor degree from a law school accredited by the American Bar Association and a current license to practice law
- Demonstrated exceptional communication skills with the ability to interact with a wide variety of internal clients and external stakeholders
