Legal Counsel

Job Duties: Advise the company on legal transactions with a primary focus on mergers and acquisitions (M&A), venture capital (VC) transactions, and other complex corporate matters. Specifically,

Ø Conduct due diligence on the takeover target’s legal, financial, and operational aspects. Provide insights and advise management on the potential risks and liabilities identified.

Ø Assist management in structuring M&A or VC transactions, taking into account objectives, goals, and legal implications. Ensure the transaction complies with relevant laws and regulations.

Ø Develop negotiation strategies that align with the company’s business goals based on the research and analysis of relevant documents, assessment of legal risks, and anticipation of challenges. Negotiate key terms and conditions of the transaction, such as purchase price, payment structure, and other important provisions, to protect the company’s interests.

Ø Draft comprehensive legal documents that accurately reflect the negotiated terms and conditions, including term sheets, investment agreements, and other legal documents essential for the transaction.

Ø Providing strategic legal advice during transaction processes to optimize benefits and minimize risks.

Ø Coordinate with all involved parties to facilitate the closing process of the transaction.

Ø Monitor changes in relevant laws, regulations, and industry trends.

Job Requirement:

Ø LL.M. or J.D. degree.

Ø Must be a registered attorney in any U.S. state. If not a registered attorney in MA, must be registered as an in-house counsel with the Massachusetts Board of Bar Overseers.
