Summary

OneStream is looking for a Legal Counsel to join our Legal team. We are looking for a law student or attorney willing to roll up his/her sleeves and take on significant responsibility helping with several aspects of the business including contract negotiation, non-disclosure agreements, software licensing, SaaS agreement, Cloud Services, and more.

We're looking for an intelligent, intuitive, caring individual who can communicate effectively with customers and who is able to "learn on the fly." Excellent legal writing is a must as well as solid organizational skills. This is a job that will offer unique insight into the complexities of a rapidly growing start-up business while giving him/her valuable work experience and hands-on responsibilities.

Primary Duties and Responsibilities

Advising on all legal matters with focus on software licensing and sales matters for SaaS services, managed services, on-premise software, and professional services - areas that are critical to OneStream's business. This position will negotiate and drive strategic transactions and a significant volume of sales agreements, as well as counsel sales and sales management and other relevant groups on a variety of licensing, intellectual property, commercial, data security and privacy law topics. This position will coordinate with various stakeholders and subject matter experts in both the legal department as well as other groups at OneStream to help drive transactions to successful completion. This position may also help with projects to improve processes that pertain to review, approvals and negotiation of commercial and legal terms for all business.

• Draft, review, and negotiate US and some international SaaS and software license agreements and amendments.
• Work with foreign attorneys on agreements.
• Draft, review, and negotiate other commercial or corporate agreements such as NDAs and vendor agreements.
• Provide support to sales and account managers on issues of contract interpretation and disputes.
• Legal research on issues related to acquisitions and workers.
• Improve efficiency and compliance by changing processes and training the sales team.
• Work with Compliance Team on Privacy Shield and GDPR.
• Work with Compliance Team on SOC 2, SOC 1, HIPPA, and FedRamp compliance documents.

Required Education and Experience

• College diploma or Bachelor's Degree in a technology-related field or equivalent work experience
• Law education, J.D. or equivalent from accredited law school and licensed to practice law in at least one state.

Preferred Education and Experience

• Minimum 1 year' experience with a focus on negotiating software or technology related license agreements
• Demonstrated ability to quickly digest complex information and make good, informed decisions
• Must be self-motivated and high energy, as well as able to collaborate with different teams
• Demonstrated competency with common technology, including but not limited to email, internet, Excel and Word
• Strong analytical, attention-to-detail, and problem-solving skills
• Strong written and verbal communication skills
• Comfortable in a fast-paced and evolving environment
• Experience with data privacy laws, a plus
