Vedder is seeking a Global Transportation Finance Paralegal in our New York office. This high-profile position entails providing paralegal support to the firm's Global Transportation Finance group. You will work closely with our attorneys, clients and opposing counsel.
As a Global Transportation Finance Paralegal, your duties will include but not be limited to:
- Assist the lawyers with all aspects of corporate, finance and and Global Transportation Finance ("GTF") transactions, including document preparation and distribution, creating closing indices, proofing and amending documents, updating closing checklists and master closing bibles, preparing master closing bibles and execution documents, managing post-closing activities and attending to related matters
- Draft and lodge/register charges, aircraft, ship and railcar mortgages
- Draft corporate authorities and ancillary documents
- Deal with opposing counsel in relation to corporate authorisation and ancillary matters
- Limited due diligence in relation to corporate powers and authority
- Work with government authorities such as Ship Registry and the International Registry
- Proofread and check documents
- Check conditions precedent and deal with clients in connection with conditions precedent
- Prepare instructions to counsel for various transactions under the supervision of a lawyer
- Assist the team in consolidating and updating know-how
- Prepare and review Uniform Commercial Code (UCC) filings and related documentation and arrange filing of same
- Make International Registry filings and obtain searches on equipment and International Registry users from the International Registry
- Prepare or manage the preparation of closing bibles and post-closing documentation, including electronic and hard-copy master bibles; distribute original documents and closing sets to the relevant transaction parties; proofread CD and hard-copy master bibles
- Assist in the creation, organization and management of physical and virtual data rooms
- Analyse and organize records and documents
- Review, reconcile and approve certain vendor invoices pre- and post-closing to ensure timely billing to the client
- Perform other tasks as assigned by the lawyers
- Annually log a target 1500 billable hours

Qualifications & Required Experience:
- Bachelor's degree required
- Minimum of 7 years' experience in commercial lending/asset-based financing and transactional work preferred
- Familiarity with UCCs is a preferred
- Knowledge of the International registry is a plus
Computer Skills:
To perform this job successfully, an individual must be proficient in the following software:
- Knowledge of Microsoft Windows, Word, Outlook and Excel; proficiency using the Internet for fact research
Compensation Range: $85,000/yr - $115,000/yr
