Job Objective:
Reporting directly to the General Counsel this position will be a key member of Harvest's legal team. This position will be responsible for domestic midstream and other energy infrastructure transactions as well as other areas of legal, e.g., litigation management, general contracts, labor/employment law, etc.
Essential Job Responsibilities:
- Provides analysis and counsel on legal, policy, and environmental issues to include the following: commercial contracts, acquisitions, financial transactions, nondisclosure agreements, outsourcing and contract agreements, regulatory requirements, compliance issues, and business planning.
- Provides legal counsel on issues arising from actual and/or anticipated lawsuits.
- Anticipates and provides information and advice to guard against legal risks faced by the company.
- Develops and recommends company policy and position on legal issues.
- Writes, reviews, and edits reports, opinions, correspondence, articles, and other documents regarding legal issues and the company.
- Writes and administers complex commercial, vendor, client, and employment contracts.
- Interprets how regulations and laws affect the company.
- Provides due diligence and prepares and negotiates legal documents in connection with company's acquisitions.
- Provides legal advice to management concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations.
- Evaluates findings and develops strategy and arguments in connection with legal issues affecting the company's business.
- Gathers evidence to formulate defense or to initiate legal actions.

Qualifications:
- Minimum of four (4) years experience, including some domestic oil and gas transactional experience .
- Law firm or in-house experience required.
- Knowledge of federal, state, and local laws with a special emphasis in the oil and gas industry.
- Ability to analyze case law and provide recommendations.
- Ability to solve problems accurately.
- Ability to be available 24 hours per day (on call for questions, emergencies, etc.).
- Ability to establish and maintain effective working relationships with employees, supervisors, other departments, officials, and the public.
- Ability to complete multiple, diverse tasks of differing priorities.
- Excellent written and verbal communication skills, with specific ability to translate complex information into an organized and presentable manner.
- Proficiency in the use and application of the following software:
- Required: Strong working knowledge of Microsoft Office (Excel, Word, and Outlook).
Education Requirements, Certifications, Licenses, and Registrations:
- J.D. degree from an accredited law school with excellent academic record.
- State Bar membership as an attorney qualified to practice law in the State of Texas.
