Job Summary

The Executive Assistant & Paralegal serves in a dual-capacity role providing high-level executive support to senior leadership while also delivering legal and compliance-related administrative assistance to the Legal Department. This position requires exceptional organizational skills, discretion, attention to detail, legal document management expertise, and the ability to manage multiple priorities in a fast-paced environment.


The incumbent acts as a trusted partner to executives, supporting strategic priorities, board and leadership activities, legal operations, contract administration, corporate governance requirements, and confidential matters.

Essential Functions

Executive Support



  • Provide comprehensive administrative support to senior executives and legal leadership.
  • Manage complex calendars, meeting schedules, travel arrangements, and expense reporting.
  • Coordinate executive meetings, leadership team meetings, board-related activities, and special events.
  • Prepare correspondence, presentations, reports, agendas, and meeting materials.
  • Draft, edit, and proofread communications and executive-level documents.
  • Manage confidential information with a high degree of discretion and professionalism.
  • Track action items, deadlines, and follow-up activities arising from executive meetings.
  • Serve as a liaison between executives, internal stakeholders, external partners, and legal counsel.
  • Support special projects and strategic initiatives as assigned.


Paralegal Support



  • Assist attorneys and legal leadership with the preparation, review, and management of legal documents.
  • Draft and maintain contracts, agreements, amendments, resolutions, and legal correspondence.
  • Coordinate execution, filing, and retention of legal agreements.
  • Maintain legal databases, document management systems, and contract repositories.
  • Conduct legal, regulatory, and corporate governance research as requested.
  • Assist with corporate records management and compliance documentation.
  • Support litigation management by organizing case files, discovery materials, and legal records.
  • Coordinate with outside counsel and track legal invoices and budgets.
  • Maintain company records related to corporate governance, board actions, and regulatory filings.
  • Monitor legal deadlines and ensure timely completion of required filings and documentation.


Board and Corporate Governance Support



  • Assist with preparation and distribution of board, committee, and governance meeting materials.
  • Maintain board records, resolutions, minutes, and governance documentation.
  • Coordinate document execution and approvals in accordance with company policies.
  • Support annual corporate governance processes and regulatory requirements.


Compliance and Records Management



  • Maintain strict confidentiality regarding legal, personnel, financial, and business matters.
  • Ensure compliance with records retention schedules and document management policies.
  • Assist with audits, compliance reviews, and legal information requests.
  • Monitor regulatory and corporate filing deadlines.

Education Description

Required:



  • Associate's degree in Paralegal Studies, Business Administration, Legal Studies, or related field.


Preferred:



  • Bachelor's degree in Business, Legal Studies, Public Administration, or related discipline.
  • Paralegal Certificate from an ABA-approved program.

Experience

Required:



  • 5+ years of executive administrative support experience.
  • 3+ years of paralegal or legal administrative experience.
  • Experience supporting senior executives, attorneys, legal teams, or corporate governance functions.


Preferred:



  • Experience in a publicly traded company, utility, energy, legal, financial services, or other highly regulated industry.
  • Experience supporting board of directors and executive leadership teams.
